We refer to the notification letter from PINEBRIDGE INV EUROPE LTD (IE) with the following announcement(s).
1. CHANGE OF INVESTMENT MANAGER.
Effective from 15/09/2025, PineBridge Investments LLC will be appointed as investment manager of PINEBRIDGE US LARGE CAP RESEARCH ENHANCED.

In connection with the Transaction, PBI LLC will undergo an internal reorganization resulting in a merger with PineBridge Galaxy LLC (“New Investment Manager”), a separately registered investment adviser with the SEC and a current indirect subsidiary of PB LP (“Reorganization”). As part of the Reorganization, the New Investment Manager will be renamed “PineBridge Investments LLC”.
2. GENERAL CHANGES.

Please be informed about the upcoming change in ultimate controlling shareholder of the Manager. Pursuant to a definitive agreement entered into by PB LP and MetLife Inc, MetLife agreed to acquire the institutional asset management business of MetLife, substantially all of PB LP’s investment management business. The Transaction will result in a change in the ultimate controlling shareholder of the Manager. The Transaction is targeted to close in the second half of 2025, no earlier than one month from the date of this Notice.
ALLFUNDS will execute the Corporate Event once it has all the necessary information and means. Please note that the effective date of its execution not necessarily being the one reported in this document.
